One-way if only you are sharing. Mutual as soon as the other side shares anything of theirs — which happens in most real conversations, often without either party noticing.

Two to five years suits most commercial discussions. Genuine trade secrets are sometimes protected indefinitely, but that should be a deliberate, narrow carve-out rather than the default.

Not on its own. Ideas are hard to protect; specific expressions, code, data and processes are easier. An NDA is one layer, not a substitute for the others.
